Terms of Service

These terms are between you and Derek Ekberg, an individual trading as coauthored (“we”, “us”). By creating an account or using coauthored, you agree to them and to our privacy policy. If you do not agree, do not use the service.

You must be at least 18 years old to use coauthored. If you are using it for an employer or a client, you confirm you are authorized to accept these terms for them, and “you” means both of you.

You sign in with a one-time code sent to your email, so your email account is your credential. Keep it secure. Anyone who can read your email can sign in as you, and everything done through your account is treated as done by you.

One account per person. Do not share an account, and tell us at support@coauthored.io if you think someone else has reached yours.

coauthored has a free tier and a paid tier called Plus. The limits are:

The cap is measured in dollars, not messages. A model call sends the whole thread as context, so one call on a long conversation with a capable model can cost hundreds of times what a short one on a cheap model costs. Counting calls would make the allowance mean wildly different things to different people; measuring cost does not.

The window rolls rather than resetting on a fixed date, so a quiet week offsets a busy one. When you reach a limit we tell you when you can continue. The hourly and concurrent limits are the same on both tiers and exist to stop scripted abuse — upgrading does not raise them, and we will not offer you an upgrade when one of those is what stopped you.

Payment. Plus is billed in advance through Stripe and renews automatically until you cancel. You can cancel, change your card, switch between monthly and annual, and read your invoices in the billing portal, which you reach from your profile menu.

Cancelling and refunds. Cancel at any time; you keep Plus until the end of the period you have already paid for, and we do not refund part of a period. If you are a consumer in the UK or EU, this does not affect your statutory right to cancel within 14 days of first subscribing — write to support@coauthored.io.

Price changes. We may change prices with at least 30 days’ notice by email. The new price applies from your next renewal, so you can cancel before it takes effect. Prices exclude any tax we are required to collect.

Do not use coauthored to:

• Break the law, or help anyone else do so.
• Upload content you have no right to upload, or that infringes someone else’s rights.
• Harass, threaten or impersonate anyone, or upload material that sexualizes children.
• Probe, scan or attack the service, work around a limit, or use an automated method to access it other than the product itself.
• Resell access, share your account, or use the service to build a competing product or to train a competing model.
• Violate the terms of any model provider listed in our privacy policy, which apply to what you send through us.

You keep ownership of everything you put into coauthored — your messages, your files, your threads. We claim no ownership of it.

You give us the permission we need to run the service: to store your content, to show it to the other members of the threads you put it in, and to send it to a model provider when you or another member invokes a model. That permission exists only to operate coauthored and goes no further — it is not a licence to publish your content, sell it, or use it for anything else.

Because entries are immutable, that permission lasts as long as the thread does. Section 8 explains what that means, and it is the paragraph to read before you put something in a thread.

We do not use your content to train models, and we do not license it to anyone who would. This is enforced on each model call rather than promised; our privacy policy explains how.

We do not review, screen, monitor or approve what anyone writes. Threads are private to their members and we do not read them. Nothing posted in coauthored is endorsed by us, checked by us, or a statement of our views, and we make no representation about whether it is accurate, lawful or safe to rely on. We may look at a thread where we have to — to investigate a fault, to answer a report under section 9, or where the law requires it — but that is an exception, not a standing practice, and none of it makes the content ours.

You are not our responsibility to each other. Content posted by another member is theirs, not ours. Anyone in a thread can invite anyone else, so you may find yourself reading something posted by someone you did not invite and do not know — judge it accordingly. If a dispute arises between you and another member, it is between the two of you; we are not a party to it, and we are under no obligation to resolve it, take a side, or produce evidence for it beyond what the law compels.

If a thread contains something that should not be there, report it under section 9 rather than assuming we already know.

As between you and us, you own the responses models produce for you, to the extent they can be owned at all.

Models are not deterministic and produce similar output for different people, so we cannot promise your output is unique or that it does not resemble someone else’s. A call that produces a poor answer has still been served, and still counts against the limits in section 4.

This is a deliberate property of the product rather than a feature we have not built yet. Model responses are generated from the exact text that stood when they were made, and the other people in the thread have read and replied to that text — a record that can be rewritten afterwards is one nobody can rely on.

We will not remove content because you regret it, and asking us to is not a route around the paragraph above. Write as though what you send is permanent, because as far as the product is concerned it is.

We keep the ability to remove content, and we may use it in narrow circumstances — where content is unlawful, where a court or the law requires it, where something has been reported to us under section 9, or where leaving it in place would put someone at serious risk.

This is a right, not a duty. Where we do act we will use reasonable efforts, but we do not undertake to remove any particular thing, to act within any particular time, or to reach any particular outcome — and exercising this once does not oblige us to exercise it again or commit us to reviewing anything. It is an exception available to us, never a feature available to members.

Deleting your account removes your identity, not your contribution. Section 10 of the privacy policy sets out exactly what is erased and what remains. Please read it before you decide coauthored is the right place for something sensitive.

If something in a thread you are a member of is unlawful, infringes your rights, or puts someone at risk, tell us at support@coauthored.io — or at legal@coauthored.io if it is a legal claim. Include the thread and enough detail to find the message. We do not monitor threads, so a report is usually the first we know of anything.

We will look at what we are told about and use reasonable efforts to deal with it, in the way and on the timescale we judge appropriate. We do not promise a particular outcome, a particular remedy, or a deadline, and nothing here creates an obligation to act on any given report.

Reporting something does not make us responsible for it, and acting on one report does not oblige us to act on another or make us the reviewer of anything nobody has told us about. Content remains the responsibility of the person who posted it, before and after a report.

We aim to keep coauthored running but we do not promise any level of uptime. It depends on services we do not control — hosting, the database, the payment processor, and the model providers — and an outage or change at any of them can interrupt or degrade it.

We may change, suspend or discontinue any part of the service. If we discontinue it entirely we will give you at least 30 days’ notice by email and a way to export your threads, and we will refund any prepaid period you have not used.

You can stop using coauthored whenever you like, and ask us to delete your account at any time.

We may suspend or close your account if you breach these terms, if we are required to by law, or if your use puts the service or other users at risk. Where it is reasonable to do so we will warn you first and give you a chance to put it right. If we close your account for a breach, we do not refund the unused part of a period.

coauthored is provided “as is”. To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the service will be uninterrupted, secure, error-free, or that model output will be accurate or suitable for your purpose.

We disclaim all liability for content posted by users, whether yours or another member’s, and for anything anyone does or fails to do in reliance on it. That includes content that turns out to be inaccurate, offensive, unlawful, confidential, infringing, or harmful, and it includes the conduct of the people you share a thread with. We do not screen content and we make no warranty about it.

Nothing in these terms excludes liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, or for fraud. If you are a consumer, your statutory rights are unaffected.

To the fullest extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost data or lost goodwill, however caused.

Our total liability arising out of or relating to coauthored is limited to the greater of the amount you paid us in the twelve months before the claim, or $100.

You agree to indemnify us against claims, damages and reasonable costs (including legal fees) arising from your content, your use of coauthored in breach of these terms, or your violation of the law or of anyone else’s rights.

This covers claims brought by anyone, including the other members of your threads and people who are not users at all — someone whose information you put in a thread, or whose work you uploaded. Sharing something inside coauthored is still publishing it to the people who can read it, and the claim that follows is yours.

These terms are governed by the laws of the State of California, United States, without regard to conflict-of-laws rules, and disputes will be heard in the state and federal courts located in California.

If you are a consumer resident elsewhere, this does not deprive you of the protection of mandatory laws of your own country, or of the right to bring proceedings there where local law gives you that right.

Before starting proceedings, please write to legal@coauthored.io. Most things are faster to fix than to litigate.

We may update these terms. If a change materially affects your rights or obligations, we will email you at least 30 days before it takes effect. Continuing to use coauthored after that means you accept the new terms; if you do not, cancel and stop using it before the date.

These terms and the privacy policy are the entire agreement between us about coauthored. If a provision is unenforceable, the rest stands. Our not enforcing something is not a waiver of it. You may not transfer this agreement; we may transfer it to a successor if coauthored is sold or merged.
